<p>Back in January, <a href="http://anomalousnetworks.com">Anomalous Networks</a>announced that they had been acquired by Tangoe. It was the first significant acquisition in 2012 in Montreal. I reached out to Dan Rudich, CEO and co-founder of Anomalous to learn more about the story and his experience.</p>
<p>Anomalous Networks started in 2010. They raised at least one round of funding in December 2010. The company provided a real-time expense management application for mobile devices, and worked extensively through the telecom industry.</p>
<p>The acquisition price was not disclosed. Dan remains with Tangoe as SVP rTEM Business Development.</p>
<p><strong>NextMontreal: Many young entrepreneurs don’t know what the experience of an acquisition is like, although most dream of it. Can you walk us through how it happened?</strong></p>
<p><em>Dan:</em> It really started with the founding of the company. We (my partner Jaan Leemet and I) had always planned to build a company that would be valuable to a larger company to acquire. We took great pains to build a company with strong fundamentals. We were generating significant revenue with satisfied customers and channel partners fairly quickly. We were detail oriented to ensure we kept the accounting and legal details very clean for an eventual due diligence process. We also made sure we positioned our product in a way that it was synergistic and strategic in a hot market with many large players. We knew if we were successful it would get the attention of the larger companies and we did.</p>
<p>We were actually in the process of raising a second round of financing when one of the VC’s forwarded our name to the CEO of Tangoe as a potential good target. We had a couple of really good calls with their executive team and it was clear there was a good fit. We had to make a decision on whether we went ahead and raised another round of financing or combine forces with a much larger company. Given that our business was scaling so quickly on an international level it would have been almost impossible to raise more VC financing and then scale international sales and support quickly enough to optimize the opportunities in front of us. By joining Tangoe we immediately become part of a publicly traded, 1,000 person company with global 24/7 support capabilities in 13 offices. Since we were in the financing process we had a pretty good idea about our valuation so it made the negotiations fairly simple. After some “friendly” negotiations we got the deal done in about 3 months.</p>
<p><strong>NextMontreal: How were the negotiations in comparison to raising money?</strong></p>
<p><em>Dan:</em> They were very similar. They are both all about valuation and due diligence.</p>
<p><strong>NextMontreal: Why did you decide it was time to sell Anomalous Networks?</strong></p>
<p><em>Dan:</em> From the perspective of the business, it was the right time. We needed to scale quickly and support customers around the world and Tangoe offered that capability immediately. They also brought a large install base of customers and some very interesting strategic initiatives to the table. Personally, it was a tougher decision because you never know when the right time is. We could have held out longer and maybe sold for more. In the end, Tangoe offered a deal that would allow the founders to continue to share in the upside and gave us significant downside protection if there was ever a rainy day. It just felt like the right deal.</p>
<p><strong>NextMontreal: What sort of transition will there be for employees? People staying in Montreal? Operations scaling with more resources from Tangoe? How did employees respond?</strong></p>
<p><em>Dan:</em> Tangoe is really excited about our product and team. That is why they bought us. They are keeping the team entirely intact and will be investing heavily to help us grow the team further. We will run as a separate division inside of Tangoe but with the ability to leverage their global sales and support resources. The feedback I have received from employees was all very positive. Tangoe is a dynamic, fast paced, entrepreneurial company despite their size. Our employees still have the startup feel but with big company security. It also helps that their options are now with a publicly traded company.</p>
<p><strong>NextMontreal: Do you feel as if you experienced the “startup roller coaster”?</strong></p>
<p><em>Dan:</em> There were definitely highs and lows as part of the process but nothing too dramatic. Looking back 99% of days were really fun. I have no regrets and would not change a thing.</p>
<p><strong>NextMontreal: Any suggestions to other startup founders going through the acquisition process now?</strong></p>
<p><em>Dan:</em>I think the reasons we were successful was due to the following:</p>
<ul>
<li>We built a fundamentally sound business first.  We proved customers would pay money for our product.</li>
<li>We strategically positioned the product in a very “hot” market.</li>
<li>We made ourselves easy to acquire by working with Tier 1 law firms and accountants to make the business “clean”.</li>
<li>We stayed focused on our plan despite many temptations to follow alternate paths.</li>
</ul>
<p>The last thing I would add is that during the actual negotiation you need to have a realistic view of what price you are willing to sell for. That is harder than is sounds when 10 people give you 10 different valuations. You have to know the value intrinsically and then stay firm to that.</p>

<p>AT&amp;T is ratcheting up the cost of wireless data plans. Again.  Come Sunday, new subscribers to Ma Bell&#8217;s network will be paying about one-third more than existing customers, who will not be affected. At least not yet.</p>
<p>There is a slight saving grace. The more expensive plans will deliver more data, so the actual price per megabyte is going down. On the other hand, customers won&#8217;t have a choice. It&#8217;s a bit like being forced to buy a larger,  more expensive box of cereal, whether you need the extra Cheerios or not.</p>
<p>The cheapest plan you&#8217;ll be able to buy for an iPhone or Android smartphone will now cost $20 for 300 megabytes of data a month, which is about 90 minutes of streaming video. That&#8217;s an increase of $5 over the current price of $15 a month for 200 megabytes of data.</p>
<p>Other tiers will go up as well.  Instead of paying $25 for 2 GB of data, customers will pay $30 for 3 GB of data. At the high end, AT&amp;T will charge $50 for 5 GB of data (with mobile hotspot/tethering) instead of $45 for 4GB with tethering.</p>

<p>It&#8217;s no secret that consumers are, well, consuming a lot more data as sales of smartphones and tablets continue to increase. And satisfying that demand does cost carriers substantial amounts of money. Do they have a right to recoup that investment and make a profit? Of course they do.</p>
<p>So why am I&#8217;m complaining? The wireless market is hardly competitive. Between them, Verizon and AT&amp;T control the lion&#8217;s share of the market, and it&#8217;s hardly a coincidence that price hikes and changes like the end of unlimited data plans implemented by one giant is quickly mirrored by the other.</p>
<p>“That AT&amp;T and Verizon both continue to match each other’s prices by ratcheting them up higher, not lower, illustrates just how broken the U.S. wireless market is,&#8221; says Derek Turner, director of research for Free Press, a non-partisan consumer advocacy group.</p>
<p>If you read AT&amp;T&#8217;s blog, you&#8217;ll notice that the company gives itself a big pat on the back because it will send alerts to consumers who are close to using up their data allowances. Yes, that&#8217;s a good thing, but don&#8217;t forget that the carriers only started that practice after consumer groups like Free Press <a href="http://www.cio.com/article/596370/How_to_Avoid_Mobile_Phone_Bill_Shock_5_Fixes">complained loudly to Congress and the Federal Communications Commission.</a></p>
<p>Indeed, a  survey by the FCC in 2010, before carriers were sending out alerts, found that about one in six cell phone users has experienced what the agency appropriately calls &#8220;bill shock,&#8221; an unexpected spike in a monthly bill unrelated to a change in contract or service.</p>
<p>It&#8217;s also worth noting that AT&amp;T has steadily increased the amount of revenue it extracts from consumers who pay for mobile data. AT&amp;T has more than doubled average monthly data revenue per customer from $12.01 at year-end 2007 to $25.14 in last year&#8217;s third quarter.</p>
<p>Keep those numbers in mind when you hear Ma Bell&#8217;s mouthpieces go on about data hogs, not to mention the fact that AT&amp;T earned a profit of $3.6 billion in just three months last year &#8212; the third quarter to be exact.  And at the time, an AT&amp;T official bragged that: &#8220;If you take those one-time items out of the mix, profit was actually up 13 percent year-over-year. In addition, wireless margins were up significantly, which means wireless profits increased.&#8221;</p>
<p>Need I say more?</p>

(NASDAQ: TNGO), a leading global provider of on-demand Communications Lifecycle Management (CLM) software and related services, announced that it has acquired privately held Anomalous Networks, a leading provider of Real-Time Telecom Expense Management (rTEM) software solutions.</p>
<p>rTEM is a critical cost containment capability that enhances both mobile Telecom Expense Management (TEM) and Mobile Device Management (MDM) solutions. For TEM solutions, rTEM shifts the expense management focus from post bill receipt to the actual point of consumption, reducing or proactively preventing the cost impacts of unnecessary overages. For MDM solutions, rTEM provides a rapidly deployed, easily configurable cost management capability that goes beyond traditional device security and control, enabling a more effective and complete solution. Based on its immediate and predictive cost containment nature, rTEM is an essential component in the elimination of “bill shock” or the unexpected receipt of large mobile services bills by individuals and organizations of all sizes.</p>
<p>Anomalous Networks delivers rTEM solutions for a wide array of communication devices such as smartphones, tablets, personal computers, and modem-enabled equipment. 			<content:encoded><![CDATA[<p>You&#8217;ve sung Auld Lang Syne and tidied up the detritus from the New Year&#8217;s Eve celebrations; it’s time to roll up your sleeves and start thinking about work.   But before you dive into a new year’s worth of projects, take a second to sit down and think about how you can stretch your business budget in the next 12 months.   Here are 12 ways to keep a few extra dollars in your pocket by rethinking how you use technology in your office.</p>
<p>• Cellphones may be a necessity, but that doesn&#8217;t mean large bills are inevitable. If you spend most of your time in a major metropolitan area, local cell providers such as Mobilicity or Wind Mobile can offer significant savings on both voice and data services. But bear in mind the downside: If you venture outside your metro area, you pay roaming fees.</p>
<p>• If you do stick with a national carrier, an app such as Telicost from Montreal&#8217;s Anomalous Networks can help keep costs under control. It tracks voice, data and SMS usage in real time, and warns if you’re about to cross your plan’s threshold. The Lite version is free, though businesses can purchase an additional software-as-a-service component to manage several phones and prevent expensive surprises at the end of the month. Telicost works on BlackBerry, iPhone/iPad, Android and Windows Phone devices, as well as Windows PCs.</p>
<p>• If you still have a fax machine lurking in a corner, occasionally spewing out a few scraps, consider switching to an online fax service such as Ottawa-based MyFax. This service lets you use your existing fax number to send and receive faxes over the Internet, without paying for an additional phone line. Their basic plan costs $10 per month or $110 per year for 100 pages sent and 200 received.</p>
<p>• While we&#8217;re talking telephony, if you still use land lines, consider switching to a voice over IP (VoIP) service such as Skype. If you make long-distance calls as a matter of course, this Web-based service could mean substantial savings.</p>
<p>• Software licensing can be a huge drain on resources. These days, programs can often cost more than the hardware they&#8217;re running on. Look into volume licensing plans such as the Microsoft Open license – you can subscribe with as few as five computers. Adobe and other developers also offer volume licensing plans.</p>
<p>• To eliminate license costs entirely, consider open source software such as LibreOffice, a productivity suite for Windows, Mac and Linux that consists of a word processor, spreadsheet program, presentation program, drawing tool and equation editor. For PDFs, try a free program such as NitroPDF. But don&#8217;t download from just anywhere; you might be unconsciously leaving your system open to malware. Visit known sources such as download.com or Tucows Downloads, and be sure to check even their wares for malware before installing.</p>
<p>• If supported software is a priority (open source or freebies typically do not offer support), consider the commercial versions of free products; they are often cheaper than the big brand names. For example, NitroPDF offers a fully supported version, with volume licensing plans starting at 11 copies.</p>
<p>• If you have some older uninterruptible power supplies protecting servers or other devices, consider replacing them entirely with new, more energy-efficient models. The Trade-UPS program from APC even offers discounts on new models, and the company will take back your old units for proper recycling.</p>
<p>• Shut down equipment at night and on weekends where possible to save electricity. It&#8217;s green, and it saves cash, too; equipment generates heat and increases cooling costs in summer, after all. Buy power bars with timers on them that will shut down automatically. If a computer has to remain on for some reason, at least turn off the monitor and peripherals.</p>
<p>• Look to the cloud when you need additional infrastructure resources. Cloud-based or hosted services can be considerably less expensive – but remember that an off-premises service may mean you need a better Internet connection.</p>
<p>• Consolidate supplies purchases to get better pricing. In a growing company, individual purchases can get overlooked; buying printer paper, toner or other small items in bulk can save a lot of money.</p>
<p>• Set up printers to default to double-sided printing, and teach your employees how to take advantage of other features, such as printing multiple pages on one sheet. It saves paper, toner and energy. And print in monochrome, not colour; it’s much cheaper.</p>

The decision was made in an effort to prevent overage charges and outrageous cases of “bill shock,” like <a href="http://travel.nytimes.com/2011/08/07/travel/how-to-beat-the-high-costs-of-dialing-abroad.html?pagewanted=all" target="_blank">the story</a> of one man receiving a $140,000 mobile bill.</p>
<p>However, most carriers have up to two years before the alerts must be implemented. If you are traveling this holiday season, we have some tips to prevent unwanted mobile charges before they occur.
